Acquisition process
For 120 years, Bergman & Beving has acquired and developed businesses, making acquisitions a core part of our corporate DNA. Over the years, our experiences have taught us a number of important lessons.
We focus on what matters. Our due diligence is deliberately limited and centred on key issues. We apply established deal structures with a proven track record. All acquisitions are completed in cash, with financing secured prior to entering the process. We do not leverage the companies we acquire.
We believe it is essential that our internal champion and the deal team involved are the same individuals that will work with the company post-acquisition. For these reasons, we very rarely involve external consultants.
When we identify a suitable match, we maintain a high pace to complete the deal. Everyone involved from B&B – from the individual initiating the first contact all the way up to our Board of Directors – bring profound experience of acquisitions, which creates a strong foundation for a smooth and professional process throughout the acquisition.
The process
Staying connected to the market
We maintain wish lists of companies that we believe would be a good fit within the Bergman & Beving group and stay in regular contact with them. In this way, we ensure that we remain on the entrepreneur’s radar when the time comes to explore a potential sale.
In parallel, we maintain close relationships with more than 100 corporate finance advisers and business brokers, providing us with new acquisition opportunities on a daily basis.
We have no preference for working directly with companies or through advisers, as we have strong experience of both approaches.
